General Terms & Conditions (GTC)

1. General

These General Terms and Conditions ("Terms") govern all quotations, offers, sales, deliveries and services provided by WEB Textile Kft. ("Seller") unless otherwise agreed in writing.

By placing an order, the Buyer accepts these Terms in full.

3. Scope of Supply

The Seller supplies, among others:

New textile machinery
Used textile machinery
Spare parts
Accessories
Technical equipment
Industrial automation components
Textile production equipment
Consulting and sourcing services

Product descriptions, photographs and technical specifications are provided for information only and do not constitute guaranteed characteristics unless expressly confirmed in writing.

4. Quotations

All quotations are non-binding unless expressly stated otherwise.

Prices may be changed without prior notice until a written order confirmation has been issued.

5. Orders

Orders become binding only after written confirmation by the Seller or shipment of the goods.

The Seller reserves the right to reject any order without providing reasons.

6. Prices

Unless otherwise agreed:

Unless otherwise specified, the prices are quoted in Euro (EUR).
Unless otherwise specified, the Prices are quoted EXW (Incoterms® 2020).
VAT, customs duties, import taxes, transportation, insurance and other governmental charges are not included unless expressly stated.

7. Payment Terms

Unless otherwise agreed:

100% advance payment before shipment.

Alternative payment terms may be agreed individually.

Late payments shall bear interest at the statutory rate plus all reasonable collection costs.

The Seller may suspend deliveries until all outstanding invoices have been paid.

8. Delivery

Delivery dates are estimates only.

The Seller shall not be liable for delays caused by:

supplier delays
transport interruptions
customs procedures
force majeure
governmental restrictions
shortages of materials

Partial deliveries are permitted.

9. Transfer of Risk

Risk transfers to the Buyer according to the agreed Incoterms® 2020.

If no Incoterms are agreed, risk passes upon handover of the goods to the first carrier.

10. Used Machinery

Unless expressly agreed otherwise:

Used machinery is sold "AS IS", "WHERE IS" and WITH ALL FAULTS.

The Buyer acknowledges that:

the machinery has been previously used;
normal wear and tear exists;
cosmetic imperfections are expected;
operating hours may not be known;
maintenance history may be incomplete.

The Buyer is responsible for inspecting the machinery before purchase whenever possible.

11. Warranty

For new machinery, the manufacturer's warranty applies where available.

For used machinery, no warranty is provided unless expressly agreed in writing.

The Seller shall not be liable for defects resulting from:

improper installation
improper maintenance
misuse
operator error
unauthorized modifications
normal wear
third-party repairs

12. Inspection

The Buyer shall inspect the goods immediately upon arrival.

Visible defects or transport damage must be reported within seven (7) calendar days.

Hidden defects must be reported immediately after discovery.

Failure to notify within these periods constitutes acceptance of the goods.

13. Retention of Title

All delivered goods remain the exclusive property of the Seller until full payment has been received.

Until ownership passes, the Buyer shall not pledge, mortgage or otherwise dispose of the goods.

14. Limitation of Liability

To the maximum extent permitted by applicable law, the Seller shall not be liable for:

loss of production
loss of profits
downtime
business interruption
indirect damages
consequential damages
loss of contracts
loss of goodwill

The Seller's total liability shall never exceed the purchase price actually paid for the respective goods.

15. Installation

Unless expressly agreed, installation, commissioning and operator training are not included.

Any installation assistance provided by the Seller shall be at the Buyer's risk.

16. Spare Parts

Availability of spare parts cannot be guaranteed, particularly for discontinued or older machinery.

The Seller shall use reasonable efforts to source requested spare parts.

17. Export Compliance

The Buyer shall comply with all applicable export control regulations, sanctions and customs laws.

Products may not be exported or re-exported where prohibited by applicable law.

18. Force Majeure

The Seller shall not be liable for delays or non-performance caused by events beyond its reasonable control, including but not limited to:

natural disasters
war
terrorism
strikes
pandemics
governmental actions
transportation disruptions
cyberattacks
shortages of raw materials or components

Obligations shall be suspended for the duration of such event.

19. Intellectual Property

All trademarks, logos, drawings, catalogues, manuals, technical documents and know-how remain the exclusive property of the Seller or the respective manufacturer.

No intellectual property rights are transferred to the Buyer.

20. Confidentiality

Both parties shall keep confidential all commercial and technical information received during their business relationship.

This obligation survives termination of the contract.

21. Data Protection

Personal data shall be processed in accordance with the applicable data protection laws, including the GDPR where applicable.

22. Governing Law

These Terms shall be governed exclusively by the laws of Hungary, excluding its conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

23. Jurisdiction

The competent courts of Sopron, Hungary, shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms.

24. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain fully effective.

25. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior negotiations, communications and agreements relating to the subject matter.

26. Amendments

WEB Textile Kft. reserves the right to amend these Terms at any time. The version valid at the date of the order shall apply.
